Please read these Terms of Service ("Terms") carefully before using verticalchiropracticut.com (the "Site") or participating in our email or text message programs.
1. Acceptance of Terms
By accessing or using this Site, you agree to be bound by these Terms, all applicable laws and regulations, and you agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these Terms, you are prohibited from using or accessing this Site. The materials contained in this Site are protected by applicable copyright and trademark law.
These Terms work together with our Privacy Policy, which is incorporated here by reference and describes how we collect, use, and protect your information.
2. No Medical Advice and No Doctor-Patient Relationship
The content on this Site is for general informational purposes only. It is not medical advice.
Nothing on this Site is intended to be, and should not be taken as, a substitute for professional medical diagnosis, advice, or treatment. Reading this Site, submitting a form, subscribing to our emails, or exchanging text messages with us does not create a doctor-patient relationship between you and Vertical Clinic of Chiropractic or any of its providers. A doctor-patient relationship is established only through an in-person examination and the execution of appropriate intake and consent documents at our office.

This Site and our messaging programs are not for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.
Do not use our website forms, email, or text messages to report an emergency or an urgent change in your condition; these channels are not monitored continuously and we cannot guarantee a timely response.
Individual results from chiropractic care vary. Any testimonials, outcomes, or examples described on this Site are not a promise, guarantee, or prediction of the results any particular patient will experience.
3. Use License
Permission is granted to temporarily download one copy of the materials on the Site for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modify or copy the materials
- Use the materials for any commercial purpose or for any public display, commercial or non-commercial
- Attempt to decompile or reverse engineer any software contained on the Site
- Remove any copyright or other proprietary notations from the materials
- Transfer the materials to another person or "mirror" the materials on any other server
This license shall automatically terminate if you violate any of these restrictions and may be terminated by Vertical Clinic of Chiropractic at any time. You agree not to use the Site or our messaging programs to:

- Provide a mobile phone number or email address you are not authorized to use
- Upload or transmit any virus, malware, or other harmful code
- Attempt to gain unauthorized access to the Site, our systems, or any account
- Use any robot, scraper, or automated means to access or collect data from the Site
- Interfere with or disrupt the Site, our servers, or our messaging services
- Harass, abuse, threaten, or send unlawful or offensive content to our staff
- Collect or harvest personal information about other users
We reserve the right to suspend or terminate your access to the Site or our messaging programs, without notice, for any violation of these Terms.
5. Text Message Program
Vertical Clinic of Chiropractic operates a text messaging program (the "Vertical Clinic of Chiropractic messaging program"). By opting in, you agree to the terms in this Section 5.
Program name. Vertical Clinic of Chiropractic.
Description of messages. Depending on the consent you provide, you may receive appointment confirmations, appointment reminders, rescheduling notices, intake and paperwork links, care instructions and follow-up messages, two-way conversational messages with our front desk regarding scheduling and general clinic matters, and marketing and promotional messages including special offers, promotions, clinic news, events, and wellness information. Messages may be sent using an automatic telephone dialing system.
Consent is not a condition of purchase or of receiving care. You are not required to agree to receive marketing text messages in order to become or remain a patient, or to receive any product or service from us.
Message frequency. Message frequency varies.
Cost. Message and data rates may apply. Any charges are billed by and payable to your mobile service provider. We are not responsible for charges imposed by your carrier.
How to opt out. Reply STOP to any message to cancel. We also honor UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE, and OPT OUT, as well as any other reasonable request to stop, made through any reasonable method, including by emailing contact@verticalchiropracticut.com. After you opt out, you will receive a single confirmation message and will receive no further messages. We honor opt-out requests no later than ten (10) business days after receipt.

Eligibility. You must be at least 18 years of age and the account holder of, or authorized to use, the mobile number you provide. You agree to notify us if you relinquish or change that number.
Carriers and delivery. The program is available on most major U.S. mobile carriers. Not all mobile devices or handsets may be supported, and messages may not be deliverable in all areas. Carriers are not liable for delayed or undelivered messages. We do not guarantee that any message will be delivered, or delivered on time.
Privacy. No mobile information, including your mobile phone number and your consent to receive text messages, will be shared with or sold to any third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for full details.
Security of messages. Text messaging is not a secure or confidential method of communication. Do not send sensitive health information by text message. You acknowledge that messages we send may be viewed by anyone with access to your device.
6. Email Communications
By subscribing to our email list, you consent to receive marketing and promotional emails from us. Email frequency varies. You may unsubscribe at any time using the link in any marketing email or by emailing contact@verticalchiropracticut.com. Service-related emails relating to your care, appointments, or billing may continue after you unsubscribe from marketing emails.
7. Appointment Requests and Online Forms
Submitting an appointment request or any other form through the Site is a request only and does not confirm an appointment. An appointment is confirmed only when our office responds to you directly. We do not guarantee the availability of any particular date, time, or provider.
8. User Submissions
Any information, feedback, questions, suggestions, reviews, or other content you submit to us through the Site, email, or text message ("Submissions") is submitted voluntarily and, except for information protected as your health information under applicable law or as described in our Privacy Policy, will be treated as non-confidential and non-proprietary. You grant Vertical Clinic of Chiropractic a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, and display such Submissions for any lawful business purpose.
You represent that you own or control all rights in your Submissions and that they do not violate these Terms or any third-party right. We are under no obligation to publish, monitor, or retain any Submission, and we may remove any Submission at our discretion.
9. Disclaimer
The materials on the Vertical Clinic of Chiropractic website are provided "as is" and "as available." Vertical Clinic of Chiropractic makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
Further, Vertical Clinic of Chiropractic does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this Site. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free.
10. Limitation of Liability
In no event shall Vertical Clinic of Chiropractic or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on the Site or our email or text message programs, even if Vertical Clinic of Chiropractic or an authorized representative has been notified orally or in writing of the possibility of such damage.
Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability arising from the provision of professional health care services.

You agree to indemnify, defend, and hold harmless Vertical Clinic of Chiropractic and its owners, providers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Site, your participation in our email or text message programs, your Submissions, or your violation of these Terms or of any applicable law.
12. Accuracy of Materials
The materials appearing on the Site could include technical, typographical, or photographic errors. Vertical Clinic of Chiropractic does not warrant that any of the materials on its website are accurate, complete, or current. We may make changes to the materials at any time without notice, but we make no commitment to update the materials.

Vertical Clinic of Chiropractic has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Vertical Clinic of Chiropractic. Use of any such linked website is at the user's own risk.

The Site and our programs may rely on third-party services, including scheduling software, an email service provider, a text messaging platform, website hosting, and analytics providers. We are not responsible for the acts, omissions, availability, or performance of these third parties.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
18. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
19. Governing Law
Any claim relating to the Vertical Clinic of Chiropractic website or these Terms shall be governed by the laws of the State of Utah, without regard to its conflict of law provisions. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Salt Lake County, Utah.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vertical Clinic of Chiropractic regarding your use of the Site and our email and text message programs, and supersede any prior agreements on that subject.
